MedAscend – Terms & Conditions

1. Introduction

1.1 Agreement

These Terms and Conditions ("Terms") govern your use of the MedAscend platform ("Platform"), operated by Medical Ascend Limited, a UK-registered company. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Educational Purpose

2.1 Purpose & Scope

  • MedAscend is an educational platform providing AI-driven patient simulations and clinical scenarios.
  • The Platform's content, including feedback and assessments, is intended for educational and informational purposes only and not for clinical decision-making or actual patient care.

2.2 No Warranty on Content

  • MedAscend makes no warranty regarding the completeness, accuracy, or reliability of the information provided.
  • Users must exercise professional judgment and adhere to university or institutional guidelines when using any content or assessments from the Platform.

3. Role of Students & Universities

3.1 Students

  • Students primarily access and interact with AI-driven patient scenarios assigned by their university or institution.
  • Students do not typically upload or publish proprietary content to MedAscend.
  • Anonymised performance data (e.g., scenario outcomes, assessment scores) may be visible to the university for educational evaluation.

3.2 Universities

  • Universities may upload their own content, including case materials, patient scripts, or media ("University Content"), for use within the Platform.
  • The university retains full ownership of all University Content.
  • By placing content on MedAscend, the university grants MedAscend a limited, non-exclusive license to host and display that content within the Platform for educational purposes.

4. Intellectual Property

4.1 MedAscend-Owned Content

  • The Platform's design, software code, and other proprietary materials created by MedAscend ("MedAscend Content") are owned by Medical Ascend Limited.
  • Users must not copy, distribute, or modify MedAscend Content without prior written consent.

4.2 University Content

  • Universities own all rights, title, and interest in their uploaded materials.
  • MedAscend does not claim any ownership over University Content; it merely hosts the content for the university's chosen duration.

4.3 Trademarks

  • All MedAscend trademarks, logos, or service marks used on the Platform are the property of Medical Ascend Limited.
  • Unauthorised use of these marks is prohibited.

5. Acceptable Use & Conduct

This section includes the MedAscend – Acceptable Use Policy ("AUP"), setting out the standards expected of all users.

5.1 Lawful Use

  • You must comply with all applicable laws and regulations when using MedAscend.

5.2 Platform Integrity

  • You must not attempt to disrupt, damage, or gain unauthorised access to any aspect of the Platform (including servers, databases, or user accounts).
  • Introducing malware, hacking attempts, or similar harmful activities is strictly prohibited.

5.3 Respectful Interactions & Content

  • You must not post or share harmful, offensive, or misleading content, such as hate speech, violence, or academically dishonest materials.
  • Offensive, harassing, or inappropriate behaviour toward the AI conversational patients is not allowed. This includes:
    • Profanity, hate speech, or explicit sexual content.
    • Harassment or bullying.
    • Encouraging illegal or harmful activities.
  • Do not misrepresent your identity, impersonate others, or submit false information.

5.4 No Unauthorised Sharing of Information

  • Do not share confidential or private information (e.g., real patient data, personal health information).
  • Any scenario or case details you discuss must be properly anonymised and comply with academic or professional standards.

5.5 Academic Honesty

  • All submissions, assessments, or feedback must align with the academic integrity policies of your institution.
  • Cheating, plagiarism, or falsification of results is strictly prohibited.

5.6 Consequences of Breach

  • MedAscend reserves the right to monitor usage and remove or restrict access for any user who violates these Terms or the AUP.
  • Severe or repeated violations may lead to temporary suspension or permanent termination of access, and possibly involve law enforcement or educational authorities.

6. Data Protection & Privacy

6.1 Compliance

  • MedAscend complies with applicable data protection regulations, including the UK GDPR and Data Protection Act 2018.

6.2 Collected Information

  • Information collected (e.g., email, usage logs, scenario performance) is used for platform functionality, educational tracking, and analytics.
  • Personal data is handled in accordance with our Privacy Policy.

7. Security & Viruses

7.1 Security Measures

  • MedAscend implements industry-standard security measures but does not guarantee the Platform is free from viruses or other harmful components.

7.2 User Responsibility

  • Users are responsible for their own cybersecurity measures (e.g., antivirus software).
  • Attempting to harm, disrupt, or gain unauthorised access to the Platform is strictly prohibited.

8. Pilot or Beta Access

8.1 License Grant for Pilot

From time to time, MedAscend ("we," "us," or "our") may offer certain institutions (such as universities) free or trial-based ("Pilot") access to our Platform for evaluation purposes.

During the Pilot, we grant the institution a non-exclusive, non-transferable, revocable license to access and use the Platform solely for internal educational evaluation and feedback.

8.2 Duration & Term

Unless otherwise specified, the Pilot will commence on the date we provide access and continue for the period agreed informally with the institution (e.g., 6 weeks). Either party may terminate the Pilot earlier by providing written or email notice.

8.3 Limitations & "As Is"

During the Pilot, the Platform is provided on an "as is" basis. We make no warranties, express or implied, regarding uptime, accuracy, completeness of content, or suitability for any particular purpose. Features may be limited, changed, or removed at any time without notice.

8.4 Feedback & Improvement

We may request feedback from Pilot participants to help improve the Platform. By providing feedback or suggestions, the institution agrees that MedAscend may use such input without obligation or restriction, and such feedback shall become part of MedAscend's intellectual property.

8.5 Data Protection

Any personal data collected during the Pilot will be handled in accordance with our Privacy Policy. The institution and its users agree to abide by all applicable data protection laws and respect any anonymisation requirements.

8.6 Termination of Pilot

  • We reserve the right to end or suspend the Pilot access at any time if these Terms (including Acceptable Use) are violated or for any operational reason.
  • Upon termination, the institution and its users must immediately cease Pilot use of the Platform unless otherwise agreed.

8.7 No Formal Agreement

  • Participation in the Pilot does not create a formal contractual relationship beyond the scope of these Terms.
  • If the institution wishes to continue using the Platform after the Pilot, separate terms or a paid subscription may apply.

9. Modifications to These Terms

9.1 Right to Update

  • MedAscend may update or modify these Terms from time to time.
  • Significant changes will be communicated via email or Platform notifications.

9.2 Acceptance of Updates

  • Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law & Disputes

  • These Terms are governed by the laws of the United Kingdom.
  • Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the UK courts.

11. Disclaimer of Warranties

11.1 "As Is" Basis

  • The Platform and all content are provided on an "as is" and "as available" basis.
  • To the fullest extent permitted by law, MedAscend disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11.2 Educational Purpose Only

  • While we strive to provide high-quality educational content, MedAscend does not warrant that the Platform or any information therein is accurate, complete, reliable, or up-to-date.
  • Users are responsible for verifying content and exercising professional judgment.

12. Limitation of Liability

12.1 Exclusion of Certain Damages

MedAscend (including its directors, employees, and affiliates) shall not be liable for any indirect, consequential, incidental, punitive, or special damages, or any loss of profits or revenues arising out of or in connection with your use of the Platform.

12.2 Maximum Liability

To the extent permitted by law, MedAscend's total liability for any claim arising from or relating to these Terms shall not exceed the amount you (or your institution) have paid for accessing the Platform in the 12 months preceding the event giving rise to the claim (or £100 if no payments were made).

12.3 No Liability for Force Majeure

MedAscend is not liable for any failure or delay due to conditions beyond its reasonable control, including natural disasters, governmental actions, or network failures.


13. Indemnification

13.1 User/University Obligations

You agree to defend, indemnify, and hold harmless MedAscend, its officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to:

  • (a) your misuse of the Platform,
  • (b) your breach of these Terms or any applicable law,
  • (c) any content you upload or submit, or
  • (d) your violation of any rights of a third party.

13.2 MedAscend Cooperation

MedAscend will promptly notify you of any claim and provide reasonable assistance, at your expense, in defending the claim.


14. Third-Party Content & Links

14.1 External Sites

The Platform may contain links to third-party websites or resources. These are provided for convenience only, and MedAscend does not endorse or assume responsibility for external sites.

14.2 Independent Dealings

Any dealings you have with third parties found through the Platform are solely between you and the third party. MedAscend is not liable for any losses or claims arising from such dealings.


15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force.


16. No Waiver

No failure or delay by MedAscend in exercising any right or remedy shall operate as a waiver. Any waiver must be in writing and signed by an authorised representative of MedAscend.


17. Assignment

  • MedAscend may assign or transfer its rights and obligations under these Terms, in whole or in part, at any time without notice.
  • You may not assign or transfer these Terms or any rights herein without MedAscend's prior written consent.

18. Termination

  • MedAscend may suspend or terminate your access to the Platform immediately if you breach these Terms or engage in prohibited conduct.
  • Upon termination, any university-owned content remains the property of the university.
  • Termination does not affect any rights or liabilities that accrued prior to termination.

19. Entire Agreement

These Terms constitute the entire agreement between you and MedAscend regarding your use of the Platform, superseding all prior agreements or understandings, whether written or oral.
